Terms of Use

Apex Connect is a business-facing platform for prospective and appointed insurance producers. By using it, you represent that you have the legal authority to act on behalf of yourself or the business you represent, and that any information you submit is accurate.

If you are issued a portal account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access to your account.

You agree to provide accurate, current, and complete information in your application and throughout your use of the portal, including licensing, tax, and business information, and to promptly update it if it changes.

You may use Apex Connect only for legitimate insurance-producer business purposes in connection with your relationship with Apex — including managing your application, licensing and compliance documents, and your own client and prospect records.

The portal, including its software, design, and content (excluding information you submit), is owned by Apex or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights in the portal beyond the limited right to use it as intended.

You retain ownership of the information and documents you submit through the portal. You grant Apex the limited permission needed to store, process, and use that information to operate the portal, evaluate your application, administer your producer relationship, and meet our legal obligations, as described in our Privacy Policy.

By using the portal, you consent to receive communications from us electronically and to conduct transactions with us electronically, including signing documents such as the Producer Agreement and Form W-9 using our electronic-signature process. Your electronic signature on those documents is intended to have the same legal effect as a handwritten signature, and a separate signing-consent disclosure is presented at the time you sign.

The portal may reference, link to, or integrate with third-party services (such as carrier systems or scheduling tools). We do not control those third parties and are not responsible for their content, availability, or practices.

Nothing in the portal — including any commission illustration, carrier or market listing, or onboarding status — is a guarantee of carrier appointment, market availability, a quote, coverage, binding authority, producer activation, compensation, or continuous or uninterrupted availability of the portal. Information presented in the portal is provided for general business convenience and is not a substitute for the actual policy language, underwriting review, carrier confirmation, or professional insurance or legal advice.

We may suspend or terminate your access to the portal if we reasonably believe you have violated these Terms, misused the portal, or if your producer relationship with Apex ends. Termination of portal access does not by itself affect any separate Producer Agreement, which is governed by its own terms.

The portal is provided "as is" and "as available." To the fullest extent permitted by applicable law, Apex disclaims all warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the portal will be uninterrupted, error-free, or completely secure.

To the fullest extent permitted by applicable law, Apex and its officers, directors, and employees will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the portal, or for any amount exceeding the fees you have paid to Apex for use of the portal in the twelve months before the claim arose, whichever is less. Nothing in this section limits liability where applicable law does not permit such a limitation.

You agree to indemnify Apex for reasonable losses arising from your material breach of these Terms or your misuse of the portal, to the extent permitted by applicable law and excluding any losses caused by Apex's own acts or omissions.

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any dispute arising from these Terms will be subject to the non-exclusive jurisdiction of the state and federal courts located in Colorado, except where applicable law requires otherwise.

We may update these Terms from time to time. We will revise the effective date above when we do, and if a change is material we will provide appropriate notice or seek re-acceptance as described for portal users.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any separate Producer Agreement governing your compensation and relationship with Apex, are the entire agreement between you and Apex regarding your use of the portal.
